Parties
This Referral Agreement (hereinafter referred to as the “Agreement”) permits selected tutors, students and parents, (hereinafter referred to as the “Referrer”), from time to time, to refer prospective customers/clients, (hereinafter referred to as the “Customer”), including new students and parents to the website - Suited Tutor, (hereinafter referred to as the “Company”). The Company will inherently pay the "Referrer", (related to the student, parent or student), who actively uses the platform, a fee for these referrals.
Terms
This Referral Agreement is effective, if and only if, the potential client becomes an active customer of the Suited Tutor platform. Furthermore, if you do not agree to the terms of this Agreement, you must not use our Referral Programme.
Referrals
Subject to your "Referrer's" compliance with the terms of this Agreement, Suited Tutor will reward you for each successful referral, should you meet the Referral Programme's criteria, (as in the force at that time).
An unsuccessful referral is defined as a valid referral that does not become a client/customer of the Company, through no fault of the Referrer or the Company.
Payment
For you as the "Referrer", for each customer/client that successfully signs into the Suited Tutor platform and schedules at least three paid classes in total, regardless of their duration, we will then provide you £20. The Company shall pay the Referrer within thirty (30) calendar days of a completed referral, where a completed referral will be the engagement of the new client/customer with the website/Suited Tutor platform.
Confidentiality
During the course of this Agreement, it may be necessary for the Company to share proprietary information, including trade secrets, industry knowledge, and other confidential information, with the Referrer in order for the Referrer to seek out potential referrals. The Referrer will not share any of this proprietary information at any time. The Referrer also will not use any of this proprietary information for their personal benefit at any time. This section remains in full force and effect even after termination of the Agreement by its natural termination or the early termination by either Party.
Prohibited Actions
The Referrer can only use our Referral Agreement in good faith for lawful purposes, Thys, under any circumstance you shall not:
- create more than one account to invite yourself
- invite others that have created duplicate accounts
- use alternative contact details to refer yourself or others that have created in the past duplicate accounts
- invite customers, whom you are not familiar with or do not personally know. (If you do so in a way that Suited Tutor's sole opinion constitutes spam or other unsolicited interactions)
- invite an existing user, who already uses the platform
- invite fictitious individuals
- attempt to harm Suited Tutor's reputation or goodwill
- transmit any unsolicited advertising or promotional materials
- use the Referral Programme excessively or in any way that we personally consider unreasonable, which depends solely on Suited Tutor's discretion
- attempt to circumvent this Agreement
Limitation of Liability
Suited Tutor accepts no liability for any use of the Referral Programme and Agreement, which does not adhere to this Agreement.
Changes to this Agreement
We may revise this Agreement at any time, by updating the content of this page.
Suited Tutor reserves the right to:
- alter or change the Referral Programme's terms at any time, without any notice
- terminate the agreement at any time, without any notice
The Referrer can solely get rewarded up to three times, should the referral requirements are fulfilled, as mentioned above.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
Referrer Agreement
The Referrer agrees that:
- he/she will use the Referral's Programme's terms is lawful and with goodwill intentions
- he/she will not abuse this Agreement's terms and exploit Suited Tutor's good intentions
- he/she will respect the privacy of others, for instance not to spam or cascade any unsolicited advertising
- he/she will not mislead or exhibit any inappropriate or malicious behaviour
- he/she will agree to be honest, open and collaborative
